Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of OpenVerb's services, including our website, OpenVerb Registry, OpenVerb Studio, OpenVerb SDK, OpenVerb Cloud Actions, and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

OpenVerb Specification

The OpenVerb specification, core libraries, and documentation are open source and available under the MIT License. You are free to use, modify, and distribute the specification in accordance with the MIT License terms available in our GitHub repository.

Account Registration

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Use automated systems to access the Services without authorization
  • Reproduce, duplicate, copy, or resell any part of the Services without permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Harass, abuse, or harm other users

Verb Libraries and Content

Your Content

You retain ownership of verb libraries and content you upload to OpenVerb. By uploading content, you grant us a license to host, store, and distribute your content as necessary to provide the Services.

Public Libraries

Content you designate as public will be accessible to all OpenVerb users. You grant other users a license to use your public verb libraries in accordance with standard open source practices.

Private Libraries

Private libraries are only accessible to you and authorized team members. We will not access or disclose private content except as required by law or with your permission.

Subscription and Billing

Paid Services

Some Services require payment. By subscribing to a paid plan, you agree to pay all applicable fees and charges.

Payment Terms

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of access

Cancellation

You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period. You will continue to have access until that time.

Intellectual Property

The Services and their original content (excluding user-generated content), features, and functionality are owned by OpenVerb and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The OpenVerb name, logo, and related marks are trademarks of OpenVerb. You may not use these marks without our prior written permission.

API Usage

Access to OpenVerb APIs is subject to rate limits and usage restrictions. You agree to:

  • Comply with API documentation and rate limits
  • Not attempt to circumvent usage restrictions
  • Properly attribute OpenVerb in applications using our APIs
  • Cache responses appropriately to minimize unnecessary requests

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free. You use the Services at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENVERB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

Indemnification

You agree to indemnify and hold harmless OpenVerb and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the courts located in the United States.
